Terms of Service

AI-Powered Wellness & Self-Help Platform

Effective Date: 17 February 2026

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Therayug Technologies Private Limited, a company incorporated under the Companies Act, 2013, having its registered office in India ("Company", "we", "us", or "our").

By accessing or using our AI-powered wellness and self-help platform, including the website, mobile application, and all associated services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through a prominent notice on the Service at least thirty (30) days prior to the changes taking effect. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the updated Terms.

2. Eligibility and Age Restriction

The Service is intended exclusively for individuals who are eighteen (18) years of age or older. By using the Service, you represent and warrant that you are at least 18 years old and are legally competent to enter into a binding contract under the Indian Contract Act, 1872.

In compliance with Section 9 of the Digital Personal Data Protection Act, 2023 ("DPDP Act"), we do not knowingly collect, process, or store personal data of children (individuals under 18 years of age) without verifiable parental consent. If we become aware that a User is under 18 years of age and is using the Service without verifiable parental consent, we will take prompt steps to terminate their account and delete all associated personal data.

If you are a parent or guardian and believe your child has accessed the Service without your consent, please contact us immediately at the details provided in Section 18.

3. Nature of the Service

3.1 AI-Powered Wellness Tool

The Service is an artificial intelligence ("AI")-powered conversational tool designed for general wellness and self-help purposes. All responses are generated by AI algorithms and are not produced, reviewed, or supervised in real-time by any licensed mental health professional, therapist, counsellor, psychologist, or psychiatrist.

3.2 Not a Medical or Therapeutic Service

The Service does not constitute and shall not be construed as:

  • Medical advice, diagnosis, or treatment of any kind
  • Psychotherapy, counselling, or psychiatric treatment
  • A substitute for professional mental health care
  • A crisis intervention or emergency support service
  • A service regulated under the Mental Healthcare Act, 2017

You should always consult a qualified and licensed mental health professional for any mental health condition, diagnosis, or treatment. Never disregard professional medical or psychological advice, or delay seeking it, based on any information or response provided by the Service.

3.3 AI Limitations and Disclosure

In accordance with the advisory issued by the Ministry of Electronics and Information Technology (MeitY) dated 15 March 2024 regarding due diligence by intermediaries and platforms, we hereby disclose that:

  • All responses are generated by artificial intelligence and may be inherently fallible or unreliable.
  • The AI does not possess consciousness, emotions, empathy, or clinical understanding.
  • Responses may sometimes be inaccurate, incomplete, generic, or inappropriate for your specific situation.
  • The AI cannot perform clinical assessments, diagnose conditions, prescribe medication, or make referrals.

4. User Account and Registration

4.1 Account Creation

To access the Service, you may be required to create an account by providing accurate, current, and complete information. You agree to update your information promptly to keep it accurate and complete at all times.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account or any other breach of security. We shall not be liable for any loss or damage arising from your failure to protect your account credentials.

4.3 Account Termination by User

You may delete your account at any time through the account settings or by contacting us. Upon account deletion, we will process the erasure of your personal data in accordance with our Privacy Policy and the DPDP Act, 2023, subject to any legal retention obligations as described in Section 9 of these Terms.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  1. Use the Service for any purpose that is unlawful or prohibited by these Terms or by any applicable law in India, including but not limited to the Information Technology Act, 2000 and the Bharatiya Nyaya Sanhita, 2023.
  2. Attempt to gain unauthorised access to, interfere with, damage, or disrupt any part of the Service, its servers, or any network connected to the Service.
  3. Use any automated system, including "robots", "spiders", or "scrapers", to access the Service for any purpose without our express written permission.
  4. Transmit any content that is defamatory, obscene, threatening, abusive, invasive of privacy, hateful, or otherwise objectionable as specified under Rule 3(1)(b) of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
  5. Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity.
  6. Use the Service to engage in any activity that could harm minors or vulnerable individuals in any way.
  7. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying models of the Service.
  8. Use the Service in a manner that could disable, overburden, or impair the Service or interfere with any other party's use and enjoyment of the Service.

6. Emergency and Crisis Situations

THE SERVICE IS NOT AN EMERGENCY SERVICE AND IS NOT DESIGNED OR EQUIPPED TO PROVIDE CRISIS INTERVENTION, SUICIDE PREVENTION, OR EMERGENCY RESPONSE OF ANY KIND.

If you or someone you know is in immediate danger, experiencing a mental health crisis, or having thoughts of self-harm or suicide, you must:

  • Contact emergency services immediately by dialling 112 (India Emergency Number)
  • Call a crisis helpline such as iCall (9152987821) or Vandrevala Foundation (1860-2662-345)
  • Visit the nearest hospital emergency department
  • Contact a trusted mental health professional or medical practitioner

The Company shall not be held liable for any harm, injury, or death that results from a User's reliance on the Service during a mental health crisis or emergency situation.

7. Intellectual Property Rights

7.1 Company's Intellectual Property

The Service, including but not limited to its software, AI models, algorithms, user interface, design, graphics, text, logos, trademarks, and all other content ("Company Content"), is the exclusive property of Therayug Technologies Pvt Ltd or its licensors and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, the Patents Act, 1970, and other applicable intellectual property laws of India.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes, subject to these Terms.

7.2 User Content

You retain ownership of any content you submit to the Service ("User Content"), including text inputs and conversational data. By submitting User Content, you grant us a limited, non-exclusive license to process such content solely for the purpose of providing and improving the Service. We will not use identifiable User Content for any purpose other than providing the Service to you, except as described in our Privacy Policy or as required by law.

8. Privacy and Data Protection

8.1 Data Fiduciary Obligations

As a Data Fiduciary under the DPDP Act, 2023, and in compliance with the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, we are committed to protecting your personal data. Our data processing practices are governed by our Privacy Policy, which forms an integral part of these Terms.

8.2 Sensitive Personal Data

We acknowledge that conversational data shared on the Service may constitute sensitive personal data or information ("SPDI") as defined under the IT SPDI Rules, 2011, including data relating to physical, physiological, and mental health conditions. We process such data with your explicit consent and in accordance with reasonable security practices aligned with the ISO/IEC 27001 standard or its equivalent.

8.3 Consent

Your use of the Service constitutes your free, specific, informed, and unambiguous consent to the collection and processing of your personal data as described in our Privacy Policy. You have the right to withdraw consent at any time, which may result in termination of your access to the Service. Consent withdrawal does not affect the lawfulness of processing carried out prior to the withdrawal.

8.4 Data Principal Rights

Under the DPDP Act, 2023, you have the following rights as a Data Principal:

  • Right to Access: You may request confirmation of whether your personal data is being processed and obtain a summary of such data.
  • Right to Correction and Erasure: You may request the correction of inaccurate or misleading personal data, the completion of incomplete data, the updating of outdated data, and the erasure of data that is no longer necessary for the purpose for which it was collected.
  • Right to Grievance Redressal: You may raise a complaint with our Grievance Officer or, if unsatisfied, with the Data Protection Board of India.
  • Right to Nominate: You may nominate another individual to exercise your rights in the event of your death or incapacity.

8.5 Cross-Border Data Transfer

Your personal data may be stored and processed on servers located in India. In the event of any cross-border transfer of personal data, we will ensure compliance with Section 16 of the DPDP Act, 2023, and will only transfer data to jurisdictions that are not restricted by the Central Government of India. We will ensure that appropriate safeguards are in place for any such transfer.

9. Data Retention and Deletion

9.1 Retention Policy

We retain your personal data, including conversational data, only for as long as is necessary to fulfil the purposes for which it was collected, or as required to comply with our legal obligations. Our specific retention periods are detailed in our Privacy Policy.

9.2 Deletion Upon Account Termination

Upon deletion of your account, we will erase your identifiable personal data, within a reasonable timeframe not exceeding ninety (90) days, in accordance with Section 8(7) of the DPDP Act, 2023.

9.3 Exceptions to Deletion

Notwithstanding Section 9.2, we may retain certain data where:

  • Retention is required to comply with a legal obligation under any law in force in India, including but not limited to the Information Technology Act, 2000, and any directions issued by a court, tribunal, or government authority.
  • Data is required for the establishment, exercise, or defense of legal claims.
  • Data has been anonymised or de-identified such that it can no longer be attributed to any individual, in which case such data will no longer constitute personal data under the DPDP Act.

Any retention under these exceptions will be limited to the minimum data necessary and for the minimum period required by law.

10. Security Measures

We implement reasonable security practices and procedures, consistent with the standards referred to in the IT SPDI Rules, 2011 (including but not limited to ISO/IEC 27001), to protect your personal data against unauthorised access, disclosure, alteration, or destruction. These measures include:

  • Encryption of data in transit (TLS/SSL) and at rest
  • Access controls and authentication mechanisms
  • Regular security assessments and vulnerability testing
  • Incident response and data breach notification procedures
  • Employee training on data protection and security

In the event of a personal data breach, we will notify the Data Protection Board of India and affected Data Principals in accordance with the applicable provisions of the DPDP Act, 2023 and the DPDP Rules, 2025.

11. Third-Party Services and Links

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by us. We do not endorse and are not responsible or liable for the content, privacy practices, or policies of any third-party websites or services. Your interactions with any third-party services are governed solely by that third party's terms and policies.

We may use third-party service providers (Data Processors) to assist in providing the Service. All such processors are contractually obligated to process your data solely on our instructions and in compliance with applicable data protection laws.

12. Fees and Payment

Certain features of the Service may be offered on a subscription or pay-per-use basis. Where applicable, the pricing, payment terms, and billing cycles will be clearly communicated to you before you incur any charges. All fees are quoted in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.

You agree to provide accurate and complete payment information. We reserve the right to modify our pricing with reasonable advance notice. Refund policies, if applicable, will be published separately and shall form part of these Terms.

13. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we make no warranty or representation that:

  • The Service will meet your requirements or expectations
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results or responses obtained through the Service will be accurate, reliable, or suitable for any particular purpose
  • Any defects or errors in the Service will be corrected
  • The Service is appropriate for use as a substitute for professional medical or mental health advice, diagnosis, or treatment

You acknowledge and agree that your use of the Service is entirely at your own risk and discretion.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THERAYUG TECHNOLOGIES PVT LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, goodwill, or business opportunity
  • Any damages arising from your reliance on the AI-generated responses
  • Any harm, injury, or death arising from or related to your use of or inability to use the Service, including in emergency or crisis situations

Our total aggregate liability for all claims arising out of or in connection with these Terms or the Service shall not exceed the amount paid by you, if any, for the Service in the twelve (12) months preceding the event giving rise to such liability.

15. Indemnification

You agree to indemnify, defend, and hold harmless Therayug Technologies Pvt Ltd, its directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

  • Your use of or access to the Service
  • Your violation of these Terms or any applicable law
  • Your violation of any rights of a third party
  • Any User Content submitted by you through the Service

16. Grievance Redressal Mechanism

In compliance with Rule 3(2) of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the DPDP Act, 2023, we have appointed a Grievance Officer to address your concerns, complaints, or queries regarding the Service or the processing of your personal data.

If you are not satisfied with the resolution provided by the Grievance Officer, you may escalate your complaint to the Data Protection Board of India under the DPDP Act, 2023, or approach the appropriate judicial forum.

17. Suspension and Termination

17.1 By the Company

We reserve the right to suspend or terminate your access to the Service, without prior notice, if:

  • You breach any provision of these Terms
  • We are required to do so by law, a court order, or a direction from a government authority
  • We reasonably believe your use of the Service poses a risk to yourself, other Users, the Service, or any third party
  • Your account has been inactive for a continuous period of twelve (12) months

17.2 By the User

You may terminate your use of the Service at any time by deleting your account through the account settings or by contacting us.

17.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Sections 7, 8, 9, 13, 14, 15, and 19 shall survive termination.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to the Information Technology Act, 2000, the IT SPDI Rules, 2011, the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Digital Personal Data Protection Act, 2023, and the Indian Contract Act, 1872.

18.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, it shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, and the seat and venue of arbitration shall be [Mumbai, India]. The language of arbitration shall be English.

18.3 Jurisdiction

Subject to the arbitration clause above, the courts in Mumbai, India shall have exclusive jurisdiction over any disputes arising under these Terms.

19. General Provisions

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and the Company with respect to the Service and supersede all prior or contemporaneous agreements, understandings, or communications, whether written or oral.

19.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

19.3 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of our assets, upon notice to you.

19.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet or telecommunications failures, cyber-attacks, or acts of war or terrorism.

19.6 Language

These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.

ACKNOWLEDGEMENT AND ACCEPTANCE

By creating an account, clicking "I Agree", or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and the Privacy Policy of Therayug Technologies Pvt Ltd.

You further confirm that you are at least eighteen (18) years of age and are legally competent to enter into this agreement.
